Code of Conduct for
Board Members and Senior Management of the Company

Introduction:-
This Code of Conduct for
Board Members and Senior Management of the Company (hereinafter
referred to as " the Code" ) helps maintain the standards of business
conduct for V.S.T.TILLERS TRACTORS LIMITED (herein after referred to
as "the Company") & ensure compliance with legal requirements of all the
applicable laws. The purpose of the code is to deter wrongdoing and
promote ethical conduct.

Applicability:-
The Code applies to the
Board Members and Senior Management of the Company. All these persons
are expected to abide by this code & any violation of this Code of
Conduct may result in taking disciplinary action.
Explanation: The term
'Senior Management' shall mean personnel of the Company who are members
of the Core management team excluding Board of Directors normally this
would comprise all members of management one level below the executive
directors including all functional heads.

I. Principle of
Professional & Personal Integrity:-
a) Act with honesty
and integrity, avoid actual or apparent conflicts of interest in
personal and professional relationships.
b) Confidential
information acquired in the course of one's work will not be used for
personal advantage.
c) Achieve responsible
use of and control over all assets and resources employed or entrusted.
II. Principle of
Propriety and Relevance of Information:-
a) Provide all
stakeholders with information that is accurate, complete, objective,
relevant, timely andunderstandable.
b) Respect the
confidentiality of information acquired in the course of one's work
except when authorized or otherwise legally obligated to disclose.
III. Principle of
Compliance:-
a) Comply with rules
and regulations of all Public Authorities in all the geographies in
which the Company operates.
IV. Principle of
Role models of Highest Standards of Corporate Governance:-
a) Act in good faith,
responsibly with due care, competence and diligence without
misrepresenting material facts or allowing one's independent judgment to
be subordinated.
b) Share Knowledge and
maintain skills important and relevant to stakeholders' needs.
c) Proactively promote
and be an example of ethical behavior as a responsible partner among
peers, in the work environment and the community.
